Agreement to Terms

Welcome to Zapledger! These Terms of Service ("Terms," "Terms of Service," or "Agreement") govern your access to and use of Zapledger's website, mobile application, and services (collectively, the "Service" or "Platform").

Please read these Terms carefully before using our Service.

By accessing or using Zapledger, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.

1. Definitions

  • "Zapledger," "we," "us," or "our" refers to Zapledger and its affiliates, directors, officers, employees, and agents.
  • "You," "your," or "user" refers to the individual or entity accessing or using the Service.
  • "Account" means the unique account created for you to access our Service.
  • "Content" refers to all text, data, information, software, graphics, photographs, and other materials uploaded, downloaded, or appearing on the Service.
  • "User Content" means all Content that you upload, create, or transmit through the Service, including invoices, client data, and business information.
  • "Subscription" refers to your paid or free plan to access and use the Service.

2. Eligibility

2.1 Age Requirement

You must be at least 18 years old to use Zapledger. By using the Service, you represent and warrant that you are at least 18 years of age.

If you are using the Service on behalf of a business or entity, you represent and warrant that you have the authority to bind that business or entity to these Terms.

2.2 Account Requirements

To use certain features of the Service, you must:

  • Register for an account
  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

3. Account Registration and Security

3.1 Account Creation

When you create an account with us, you agree to:

  • Provide accurate and complete registration information
  • Update your information to keep it current
  • Not create an account for anyone other than yourself without permission
  • Not use a false or misleading email address or identity
  • Not create multiple accounts for yourself

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Termination

You may terminate your account at any time by:

  1. Logging into your account
  2. Going to Account Settings
  3. Selecting "Delete Account"
  4. Confirming deletion

Upon termination, your right to use the Service will immediately cease. All data will be deleted within 30 days unless we are required to retain it for legal purposes.

4. Subscription Plans and Billing

Basic Plan

4.1 Pricing

Current pricing is displayed on our website at zapledger.com/pricing. We reserve the right to modify pricing at any time with 30 days' notice to existing subscribers.

Price changes will not affect your current billing cycle if you are on a paid plan. New pricing will apply upon renewal.

4.2 Billing

Payment Authorization: By providing payment information, you authorize us to charge your payment method for the selected subscription plan.

Automatic Renewal: Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

Payment Methods: We accept credit cards, debit cards, and other payment methods as indicated on our website. Payment processing is handled by Stripe.

Failed Payments: If payment fails, we will notify you via email and attempt to charge your payment method up to 3 times. If all attempts fail, your account may be downgraded to the Free Plan or suspended.

4.3 Refunds

Free Plan: No refunds apply as the service is free.

Monthly subscriptions: No refunds for partial months. Cancel anytime to avoid future charges.

Annual subscriptions: Refunds available within 14 days of initial purchase only. After 14 days, no refunds for unused portions.

Promotional pricing: Special offers and discounted subscriptions are non-refundable.

To request a refund, contact support@zapledger.com with your account details and reason for the request.

4.4 Cancellation

You may cancel your paid subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to paid features until that time.

5. Acceptable Use Policy

5.1 Permitted Use

You may use Zapledger to:

  • Create and manage invoices for your business
  • Track payments and financial information
  • Manage client relationships
  • Generate financial reports
  • Store business-related documents

5.2 Prohibited Use

You may NOT use Zapledger to:

Illegal Activities

  • Violate any local, state, national, or international law
  • Engage in fraudulent activities
  • Facilitate money laundering or terrorist financing
  • Infringe on intellectual property rights

Harmful Activities

  • Upload viruses, malware, or malicious code
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service or servers
  • Use automated scripts to access the Service (bots, scrapers)
  • Reverse engineer or decompile the Service

Abusive Activities

  • Harass, threaten, or impersonate others
  • Send spam or unsolicited communications
  • Create fake accounts or multiple accounts to evade restrictions

5.3 Enforcement

Violation of this Acceptable Use Policy may result in:

  • Warning and request to cease prohibited activity
  • Temporary suspension of your account
  • Permanent termination of your account
  • Legal action if necessary
  • Reporting to law enforcement authorities

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by Zapledger and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks, service marks, and logos (the "Zapledger Marks") may not be used without our prior written consent.

6.2 Your Intellectual Property

You retain all rights to the User Content you create, upload, or transmit through the Service (invoices, client data, business information).

By using the Service, you grant us a limited, non-exclusive, royalty-free, worldwide license to:

  • Host, store, and backup your User Content
  • Display your User Content back to you
  • Process and transmit your User Content as necessary to provide the Service
  • Create anonymized, aggregated data for analytics and improvement

This license terminates when you delete your User Content or close your account.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation to you.

7. User Content and Data

7.1 Your Responsibility

You are solely responsible for:

  • The accuracy and legality of your User Content
  • Backing up your User Content
  • Ensuring you have rights to all User Content you upload
  • Compliance with all applicable laws regarding your User Content
  • Any consequences resulting from your User Content

7.2 Data Backup

While we implement backup procedures, you are responsible for maintaining your own backup copies of your User Content. We are not liable for any loss or corruption of User Content.

7.3 Data Portability

You can export your data at any time through your account settings in standard formats (CSV, PDF, Excel).

8. Third-Party Services and Links

The Service may integrate with third-party services (payment processors, cloud storage, etc.). Your use of these third-party services is subject to their own terms and privacy policies.

We are not responsible for:

  • The availability or functionality of third-party services
  • Any data you share with third-party services
  • The actions or policies of third-party providers
  • The content of linked websites

9. Disclaimers and Limitations of Liability

9.1 Service "AS IS"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or completeness
  • Uninterrupted or error-free operation

9.2 No Guarantee of Accuracy

While we strive for accuracy, we do not warrant that:

  • The Service will meet your requirements
  • Invoice calculations will be accurate (you should verify all calculations)
  • Financial reports will be error-free
  • The Service will be available at all times

You are responsible for verifying all information and calculations generated by the Service.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAPLEDGER SHALL NOT BE LIABLE FOR:

Indirect Damages

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue, loss of data or business, business interruption, or cost of substitute services.

Direct Damages

Our total liability for any claims arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim (or $100 if you are on the Free Plan).

10. Indemnification

You agree to indemnify, defend, and hold harmless Zapledger, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your User Content
  • Your breach of any representation or warranty
  • Any fraudulent or illegal activity

This indemnification obligation survives termination of these Terms.

11. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

  • You have rights to access, correct, and delete your data

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

  • Notify you via email (to the address associated with your account)
  • Post a notice on our website
  • Provide reasonable advance notice (typically 30 days for material changes)

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service.

13. Termination

13.1 Termination by You

You may terminate these Terms at any time by:

  • Closing your account through account settings
  • Ceasing all use of the Service
  • Emailing us at support@zapledger.com

13.2 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Violation of the Acceptable Use Policy
  • Fraudulent or illegal activity
  • Non-payment (for paid subscriptions)
  • Extended inactivity (Free Plan accounts may be deleted after 12 months of inactivity with notice)

13.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • Your account will be disabled
  • Your User Content will be deleted within 30 days (unless legally required to retain)
  • Outstanding fees become immediately due
  • You must cease all use of our intellectual property

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to first contact us at legal@zapledger.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith for 60 days.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions.

14.3 Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

Any dispute arising from or relating to these Terms or the Service will be resolved through binding arbitration, rather than in court, except for small claims court disputes (under $10,000), intellectual property disputes, and claims for injunctive relief.

Class Action Waiver: You agree that disputes will be resolved on an individual basis only. You may not bring claims as a class action, representative action, or any other collective proceeding.

15. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zapledger.

Waiver

Our failure to enforce any right or provision will not be considered a waiver of those rights.

Severability

If any provision is held invalid or unenforceable, the remaining provisions will remain in full force.

Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for failures due to circumstances beyond our reasonable control (natural disasters, war, cyber attacks, etc.).

Language

These Terms are drafted in English. In the event of conflict with translations, the English version prevails.
